SYMBIOSIS VAULT LEADERBOARD DISCRETIONARY REWARD TERMS & CONDITIONS

Jack & Jack LLC ("Sponsor") may, in its sole and absolute discretion, award one or more VIP 2 Standard Upgrade certificates ("Prize") to selected participants of the SYMBIOSIS VAULT Leaderboard. Selection criteria, timing, quantity and recipients shall be determined solely and exclusively by Sponsor. Placement on the SYMBIOSIS VAULT Leaderboard, including within the Top 100, does not guarantee receipt of any Prize, reward or benefit.

PRIZE

The Prize consists solely of one (1) VIP 2 Standard Upgrade package for a participating Jack & Jack tour date, subject to availability and Sponsor approval.

Prize may only be redeemed for dates and events designated by Sponsor. Certain events, markets, festivals, private appearances, promotional events, special engagements, or sold-out VIP allocations may be excluded at Sponsor's sole discretion.

The Prize does not include:

• Concert ticket or general admission ticket
• Transportation
• Airfare
• Lodging
• Meals
• Parking
• Travel expenses
• Merchandise
• Any other costs or expenses

Recipient must have a valid concert ticket for the applicable event at the time of redemption and entry.

DISCRETIONARY SELECTION

Sponsor may, in its sole and absolute discretion, select Prize recipients using any method determined by Sponsor, including random selection. Sponsor makes no guarantee regarding the number of Prizes distributed, the odds of receiving a Prize, the timing of any distribution or the availability of any particular event date.

REDEMPTION

The Prize must be redeemed in accordance with the instructions provided by Sponsor.

To redeem the Prize, the recipient must contact Sponsor by emailing info@jackandjack.store no later than thirty (30) days prior to the requested event date. Requests submitted fewer than thirty (30) days before the event may be denied at Sponsor's sole and absolute discretion.

Sponsor reserves the right to verify eligibility, identity, leaderboard status, event ticket ownership and event availability before issuing VIP credentials. The requested event must have VIP availability and be approved by Sponsor at the time of redemption.

Failure to comply with any redemption instructions, documentation requests or deadlines may result in immediate forfeiture of the Prize without compensation.

Sponsor reserves the right to deny redemption, refuse entry or revoke VIP privileges at any time if the recipient violates venue policies, VIP policies, applicable laws, or engages in behavior deemed unsafe, disruptive, abusive, threatening, fraudulent or otherwise inappropriate in Sponsor's sole and absolute discretion.

Sponsor reserves the right to establish additional redemption requirements, modify redemption procedures or require redemption by a specified deadline. Any Prize not redeemed in accordance with these Terms & Conditions shall be deemed forfeited without compensation or substitution.

NO CASH VALUE

The Prize has no cash value, is non-transferable, non-refundable and may not be sold, exchanged, auctioned, assigned or otherwise transferred. Any attempted transfer or sale shall render the Prize void. No substitutions shall be permitted except by Sponsor, which reserves the right to substitute the Prize with another prize of equal or greater value in its sole discretion.

EVENT CHANGES

Sponsor is not responsible for event cancellations, postponements, venue changes, artist illness, force majeure events, governmental actions, travel disruptions, scheduling changes or any other circumstances affecting the event or the recipient's ability to attend. No compensation, replacement or reimbursement shall be provided except at Sponsor's sole discretion.

LIMITATION OF LIABILITY

By accepting the Prize, the recipient agrees to release and hold harmless Jack & Jack LLC, its affiliates, officers, directors, employees, contractors, agents, venues, promoters and representatives from any claims, damages, losses, liabilities, costs, expenses, injuries or causes of action of any kind whatsoever, including, without limitation, claims involving personal injury, death, property damage, economic loss or any other damages, arising out of or relating to participation in this promotion, acceptance of the Prize, attendance at any event, travel to or from any event or use of any VIP benefits.

MODIFICATION OR TERMINATION

Sponsor reserves the right to modify, suspend, replace, terminate or cancel this promotion or any Prize at any time, for any reason, with or without notice and without liability.

GOVERNING LAW

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising from or relating to this promotion shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
