RANDOM VIP UPGRADE PROMOTION TERMS & CONDITIONS

Jack & Jack LLC ("Sponsor") may, at its sole discretion, randomly include a VIP 2 Standard Upgrade certificate ("Prize") in select SYMBIOSIS VAULT photo card orders.

PRIZE

The Prize consists solely of one (1) VIP 2 Standard Upgrade package for a participating Jack & Jack tour date, subject to availability.

Prize may only be redeemed for dates and events designated by Sponsor. Certain events, markets, festivals, private appearances, promotional events, special engagements, or sold-out VIP allocations may be excluded at Sponsor's sole discretion.

The Prize does not include:

• Concert ticket or general admission ticket
• Transportation
• Airfare
• Lodging
• Meals
• Parking
• Travel expenses
• Merchandise
• Any other costs or expenses

Recipient is solely responsible for obtaining a valid concert ticket for the applicable event.

RANDOM DISTRIBUTION

Prize recipients are selected solely by Sponsor at random. Sponsor makes no guarantee regarding the number of Prizes distributed, the odds of receiving a Prize or the availability of any particular event date.

REDEMPTION

The Prize must be redeemed in accordance with the instructions provided by Sponsor. Sponsor reserves the right to verify eligibility, identity and event availability before issuing VIP credentials. Failure to redeem the Prize in accordance with Sponsor instructions may result in forfeiture of the Prize.

Sponsor reserves the right to deny redemption or revoke VIP privileges to any recipient who violates venue policies, VIP policies, applicable laws, or engages in behavior deemed unsafe, disruptive, abusive, threatening, fraudulent, or otherwise inappropriate by Sponsor in its sole discretion.

Sponsor reserves the right to require redemption by a specified deadline. Unredeemed Prizes may be forfeited at Sponsor's sole discretion.

NO CASH VALUE

The Prize has no cash value, is non-transferable, non-refundable and may not be sold, exchanged, auctioned, assigned or otherwise transferred. Any attempted transfer or sale shall render the Prize void.

EVENT CHANGES

Sponsor is not responsible for event cancellations, postponements, venue changes, artist illness, force majeure events, governmental actions, travel disruptions, scheduling changes or any other circumstances affecting the event or the recipient's ability to attend. No compensation, replacement or reimbursement shall be provided except at Sponsor's sole discretion.

LIMITATION OF LIABILITY

By accepting the Prize, the recipient agrees to release and hold harmless Jack & Jack LLC, its affiliates, officers, directors, employees, contractors, agents, venues, promoters and representatives from any claims, damages, losses, liabilities, costs, expenses, injuries or causes of action arising out of or relating to participation in this promotion, acceptance of the Prize, attendance at any event, travel to or from any event or use of any VIP benefits.

MODIFICATION OR TERMINATION

Sponsor reserves the right to modify, suspend, replace, terminate or cancel this promotion or any Prize at any time, for any reason, with or without notice and without liability.

GOVERNING LAW

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising from or relating to this promotion shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
